The EC has given the green light to CHS Electronics? acquisition of French distributor Metrologie International.
The merger will affect markets in Spain, France and Germany where the two groups overlap, the Commission said.
"However in each of these member states there are several other large players in the market," it said.
Commission sources said the merged company will hold a combined EU marketshare of between five per cent and 10 per cent, including 15 per cent to 20 per cent in Spain, 10 per cent to 15 per cent in France and Germany, plus up to 10 per cent in Austria, Belgium and Denmark.
CHS will compete with Tech Data, whose acquisitions of distributors Computer 2000, Ingram, Peacock and Actebis have also been cleared by the EC.
