Baan was slammed for its complex structure and lack of information to shareholders at its annual investors' meeting last week.
One of the company's main shareholders voted, but failed, to stop the reappointment of Paul Baan, president of Baan Investment, which holds a little more than 39 per cent of the Dutch software giant.
Investors also criticised Baan's capital structure, public relations operations and transactions between Baan and Baan Investment and its subsidiaries.
